Job Description

JD for 2-3 experience Company Secretary 

 

  1. Preparation of agenda and Notice for Board Meetings, Committees, and General Meetings and follow up on action points. 

  1. Compliance under SEBI LODR and routine compliance with SEBI/BSE/NSE for a listed company. 

  1. Convene the meetings, take minutes, draft resolutions, and file required forms and annual returns with MCA. 

  1. Handling of Secretarial Activities of Companies. 

  1. Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee/Board. 

  1. Maintain statutory books, including registers of members, directors, and KMP, Charge etc. 

  1. Liaise with external regulators and advisers, auditors, depositories, intermediaries, RTA, stakeholders etc. 

  1. Implement processes or systems and Compliance tracker to ensure good governance of the organization. 

  1. FEMA related compliances primarily filing of FCGPR, FRTRS, DI, FIPB reporting. 

  1. Assit in developing and executing the systems that ensure the company complies with all applicable Circulars, Guidelines, Notifications, codes etc. issued by RBI, MCA, IRDAI or any other regulatory Authority as per statutory requirements. 

  1. To handle the administration of share transfers and share issuances, buy-back, bonus issue, Listing, fund raising, or any other such projects/arrangements entered into by the Company.   

  1. Candidates who are/were part of IPO team will be preferred.
